1. Acceptance of Terms
By accessing or using TaxFly AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
TaxFly AI provides AI-powered document processing and data extraction tools for tax preparation professionals. Our Service is designed to assist licensed tax preparers and does not constitute tax advice or professional tax preparation services.
2. Service Description
TaxFly AI offers:
- AI-powered document classification and data extraction
- Client portal for document submission and collaboration
- Integration with professional tax software (Drake, Lacerte, UltraTax, etc.)
- Case management and workflow automation
- IRS form generation assistance
The Service is a tool to assist tax professionals. All AI-generated outputs must be reviewed and verified by a qualified tax professional before use.
3. Eligibility and Account Registration
You must be:
- At least 18 years old
- A licensed tax professional or authorized to prepare tax returns in your jurisdiction
- Authorized to enter into this agreement
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
4. User Responsibilities and Prohibited Conduct
You agree to:
- Comply with all applicable laws, including IRS regulations and data privacy laws
- Maintain professional standards and ethical obligations of your profession
- Review and verify all AI-generated outputs before use
- Protect client confidentiality and sensitive tax information
- Use the Service only for lawful tax preparation purposes
You agree not to:
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service or other users' data
- Reverse engineer, decompile, or extract source code from the Service
- Resell, lease, or redistribute the Service without authorization
- Use the Service to process documents for unlawful purposes
- Rely solely on AI outputs without professional review
5. Tax Advice Disclaimer
IMPORTANT: TaxFly AI is a document processing and workflow management tool. The Service does not:
- Provide tax advice or professional tax preparation services
- Replace the judgment and expertise of qualified tax professionals
- Guarantee accuracy of AI-generated extractions or calculations
- Ensure compliance with current tax laws and regulations
You are solely responsible for all tax returns, filings, and advice provided to clients. TaxFly AI is not liable for errors, omissions, or consequences arising from use of the Service.
6. Data Security and Privacy
We implement industry-standard security measures to protect your data, including:
- Encryption in transit (TLS 1.3) and at rest (AES-256)
- Role-based access controls and multi-tenant data isolation
- Regular security audits and vulnerability assessments
- Compliance with SOC 2 Type II standards (certification in progress)

7. Pricing and Billing
TaxFly uses a credit-based pricing model. Each case uses one credit:
- Free Trial: 5 free case credits for new users
- Pay-As-You-Go: $2.99 per case, no commitment
- Starter Bundle ($199/year): 100 cases ($1.99/case, save 33%)
- Growth Bundle ($449/year): 300 cases ($1.50/case, save 50%)
- Pro Bundle ($799/year): 600 cases ($1.33/case, save 55%)
- Business Bundle ($1,299/year): 1,200 cases ($1.08/case, save 64%)
Billing terms:
- Credits are purchased as one-time payments, not recurring subscriptions
- Purchased credits do not expire
- Prices are subject to change with 30 days notice
- No refunds for unused credits
- Credits are tied to your firm account and cannot be transferred
8. Intellectual Property
TaxFly AI retains all rights to the Service, including software, AI models, algorithms, and documentation. You retain ownership of all client data and documents uploaded to the Service.
You grant TaxFly AI a limited license to process your data solely to provide the Service. We may use anonymized, aggregated data to improve AI models and Service features.
9. AI Model Training and Data Usage
TaxFly AI uses machine learning models to extract data from tax documents. We may use anonymized, de-identified data to:
- Improve extraction accuracy and document classification
- Train and fine-tune AI models
- Develop new features and capabilities
We never use identifiable client data (names, SSNs, addresses) for model training. All training data is stripped of personally identifiable information.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- TaxFly AI provides the Service "AS IS" without warranties of any kind
- We are not liable for errors in AI-generated extractions or calculations
- We are not liable for tax penalties, interest, or fines resulting from use of the Service
- Our total liability is limited to the amount you paid in the 12 months prior to the claim
- We are not liable for indirect, consequential, or punitive damages
Some jurisdictions do not allow limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify and hold TaxFly AI harmless from any claims, damages, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Tax returns or advice you provide to clients
- Your violation of any law or third-party rights
12. Termination
You may close your account at any time from your account settings. Any unused credits will be forfeited upon account closure.
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Abuse the free credit system
- Pose a security risk to the Service or other users
Upon termination, you have 30 days to export your data. After 30 days, we may delete your account and data.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Any disputes will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. You waive the right to participate in class action lawsuits.
